Kansai Paint Co., Ltd. (Headquarters: Kita-ku, Osaka, President: MORI Kunishi, hereinafter referred to as “Kansai Paint”) confirmed today that a local disclosure has been made by its local joint venture partner, Marmara Holding A.Ş. (“MH”), regarding Polisan Kansai Boya Sanayi ve Ticaret A.Ş. (“PKB”), an equity-method affiliate of Kansai Paint. In the interest of ensuring fair disclosure of information, Kansai Paint is also disclosing this matter.

1．Content of Disclosure by Marmara Holding
Following negotiations conducted in response to an offer from Kansai Paint, holder of 50% shareholding in PKB, in which MH also holds a 50% shareholding, MH and Kansai Paint signed a non-binding memorandum of understanding on June 26, 2026, regarding the sale of MH’s entire stake in PKB to Kansai Paint for an indicative consideration of USD 93,000,000 (“Transaction”). The Transaction is subject to the completion by Kansai Paint of its due diligence review of PKB, the parties reaching an agreement on the definitive transaction agreements following negotiations, the execution of such agreements and obtaining of the necessary approvals for the completion of the Transaction pursuant to such agreements.

2．Details of the Local Disclosure
The disclosure has been made by MH in Türkiye. The Memorandum of Understanding (“MOU”) that has been executed sets forth the basic understanding between the parties to proceed with consideration of Kansai Paint’s additional acquisition of the 50% shareholding in PKB currently held by MH, with a view to making PKB a wholly owned subsidiary of Kansai Paint. The MOU is not legally binding.

3．Current View of Kansai Paint
Kansai Paint confirms that the factual details contained in MH’s disclosure are consistent with Kansai Paint’s current understanding.

4．Future Outlook
Kansai Paint will proceed with the appropriate procedures and promptly disclose any matters that require disclosure as they arise.
