Kansai Paint Group Supplier Code of Conduct

The Kansai Paint Group* (hereafter “Kansai Paint Group” or “we”) upholds the principle of “Profession and Integrity,” which has been the foundation of our management since our establishment, as a core values. Guided by this value, we embrace the vision of “Enrich Lives with Happiness”.
Under this vision, procurement within the Group aims to build fair and mutually beneficial partnerships with our business partners, and we have established our Procurement Policy accordingly.
This Supplier Code of Conduct sets forth the expectations and requirements that the Group asks its suppliers to understand and comply with.

Scope of this Conduct

This Code applies to all domestic and international suppliers engaged in transactions with the Group. We recognize that laws, values, and cultural backgrounds differ across countries and regions. While the principles outlined in this Code represent common standards for the Group, we allow flexibility in implementation to reflect local circumstances, ensuring alignment with societal, legal, and cultural expectations.

1.Purpose

This Code provides fundamental guidelines for suppliers involved in the supply of paint raw materials, machinery and equipment, and indirect materials, with the aim of building sustainable and responsible business relationships.

2.Compliance with Laws and Regulations

Comply with all applicable laws and regulations in each country, including those related to corporate governance.
Adhere to labor laws, environmental laws, and import/export regulations.
Comply with all other applicable international laws and regulations, including those relating to international trade (such as sanctions, export controls and reporting obligations), data protection and antitrust/competition laws.

3.Product Safety and Quality Management

Provide and update Safety Data Sheets (SDS).
Deliver products that meet specifications, contracts, and quality standards.
Maintain quality management systems (e.g., ISO 9001).
Ensure raw material traceability.
Manage hazardous substances (e.g., RoHS, SVHC).
Conduct research and development responsibly, based on accepted scientific, technological, and ethical principles.

4.Environmental Responsibility

Work to reduce VOC emissions.
Cooperate in minimizing environmental impact throughout the product lifecycle.
Promote the use of renewable energy and recycling of waste.
Comply with chemical substance regulations in each country.
Establish and operate environmental management systems (e.g., ISO 14001).
Promote the use of sustainable materials such as reusable, recyclable, and non-food biomass resources.
Reduce greenhouse gas emissions during manufacturing, logistics, and use.

5.Conflict Minerals

Ensure that raw materials containing conflict minerals are not used.
Ensure appropriate management throughout the entire supply chain.
Cooperate with surveys (CMRT or EMRT, or both) regarding conflict minerals.

6.Labor Environment and Human Rights

Respect human rights: do not engage in discrimination and harassment.
Prohibit forced labor and child labor in accordance with ILO standards.
Ensure fair working conditions: manage working hours and leave appropriately and pay fair wages.
Provide a safe and healthy workplace with necessary equipment and training.
Respect freedom of association and the right to collective bargaining.
Establish mechanisms for employees to raise concerns or complaints safely.

7.Ethics and Fair Transactions

Prohibit bribery and corrupt practices.
Prevent conflicts of interest, and promptly report any conflicts to us if any arise.
Respect intellectual property rights.
Manage confidential information appropriately.
Do not give improper gifts, entertainment, or other benefits, directly or indirectly, to any employee of us.

8.Confidentiality & Insider Trading

All business transactions shall be accurately recorded and appropriately managed in the supplier’s books and records.
Do not engage in money laundering or related activities.
Do not use confidential information provided by us to engage in or support insider trading.

9.Continuous Improvement and Cooperation

Strive for continuous improvement.
Accept audits and evaluations as necessary.
Cooperate in improvement activities aligned with the Group’s CSR policies.
Provide information and collaborate toward achieving sustainability goals (KPIs).

10.Response to Violations

In the event that serious violations of the above requirements are identified, corrective actions may be requested, and measures such as contract review or suspension of transactions may be taken. If a supplier becomes aware of any non-compliance with this Code, the supplier must promptly report it to us. Failure to do so may constitute a breach of this Code.

We reserve the right to continuously review and revise this Code. The most recent version of this Code is available on our website.

Structure & System

We recognize that maintaining and enhancing governance related to tax matters contributes to improving corporate value, and we are committed to strengthening our framework accordingly.
To this end, led by the Kansai Paint Tax Group, we are reinforcing collaboration with each Group company and promoting initiatives to build a structure that appropriately improves tax compliance and reduces tax‑related risks.
Personnel within the Tax Group continuously develop and enhance the broad skills required to address tax issues by participating in capability‑building programs provided by external organizations and in tax‑related training.
In accordance with its tax policy, the Kansai Paint group will implement effective management, strengthen governance, build constructive and positive relationships with respective tax authorities and fulfill its tax obligations in all countries and regions.
